Affiliate Program Terms

These terms are between you (the "Partner") and QuokkaQuery, LLC, a Delaware limited liability company at 1606 Headway Cir STE 9103, Austin, TX 78754, US, which operates Headoffis ("we", "us"). By joining the Headoffis Affiliate Program (the "Program"), you agree to these terms.

1. Joining the Program

You apply through the Headoffis affiliate portal at headoffis.affonso.io. We may approve or decline any application. You must be at least 18 and give accurate information, including payout and tax details.

2. Commission

You earn a 20% commission on every payment a Referred Business makes for its Headoffis subscription, including renewals and added seats, for as long as that business stays subscribed. Commission is calculated on the amount paid, excluding sales tax. Payments that are refunded or charged back earn no commission. If commission has already been paid on a payment that is later refunded or charged back, we may deduct it from future payouts.

3. Referrals and tracking

A "Referred Business" is a business that starts a paid Headoffis subscription within 30 days of clicking your referral link. If a visitor clicks more than one partner's link, the most recent click gets the credit. Referrals are tracked by Affonso using cookies and our payment records. Our tracking records decide which referrals and commissions are credited. A referral may not be credited if the visitor blocks cookies or uses a different device or browser.

4. Payouts

Commission becomes payable 30 days after the payment it is earned on, so refunds and disputes can settle first. Payouts are made through Affonso once your payable balance reaches US$50. Payout methods and timing are shown in the affiliate portal. You are responsible for any taxes on your commissions, and you must provide any tax forms we or Affonso request. We may withhold payouts until those forms are received.

5. Program rules

• No self-referrals. You cannot earn commission on your own business or on any business you own or manage.
• No bidding on our brand. Do not run paid search ads on "Headoffis" or its misspellings, and do not run ads that look like official Headoffis ads.
• No spam. Do not send unsolicited email or messages, post fake reviews, or publish coupon or discount codes.
• Disclose your commission. Clearly say that you earn a commission from your link, as the US Federal Trade Commission requires.
• Accurate claims only. Describe only the features and pricing published on headoffis.com, and say that Headoffis is available to US businesses only.
• No misleading or unlawful promotion. Do not use cookie stuffing, forced clicks, hidden links or traffic you know to be fraudulent. Do not promote Headoffis on sites with illegal, hateful or adult content.

6. Use of our brand

While you are in the Program, you may use the Headoffis name and the logo and materials we provide, only to promote Headoffis under these terms. Do not change our logo, register domains or social accounts that include "Headoffis", or suggest that you are Headoffis or that we endorse you beyond this Program. This permission ends when your participation ends.

7. Fraud and breaches

If we reasonably believe a referral or commission came from fraud or a breach of these terms, we may withhold or reverse that commission, and we may suspend or remove you from the Program.

8. Changes and termination

We may change these terms or the Program, or end the Program, by giving notice to partners through the affiliate portal or by email. Continuing to take part after a change takes effect means you accept it. You may leave the Program at any time. Either way, commission you have already earned is still paid under section 4, unless it came from fraud or a breach of these terms.

9. Relationship

You are an independent contractor. Nothing in these terms creates an employment, partnership, agency or joint-venture relationship. You may not make commitments on our behalf.

10. Liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits. Our total liability under these terms is limited to the commissions paid or owed to you in the 12 months before the claim. These limits do not apply to fraud or willful misconduct.

11. Governing law

These terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules, and applicable US federal law. The state and federal courts located in Delaware have exclusive jurisdiction and venue. Before starting a claim, please contact support@headoffis.com and allow 30 days for us to try to resolve the dispute informally.
